Terms & Conditions

Introduction

frientor.io and *.frientor.io (“Websites”) and the web application, documentation and all other Intellectual Property, software and infrastructure (individually referred to as “Frientor Application” and collectively as “Frientor ” are owned, registered and operated by Navaverse Technologies Pvt Ltd. (“Company”), a company incorporated in India.

These Terms of Use (“Terms of Use”), which include and hereby incorporate the Privacy Policy at [frientor.io](“Privacy Policy”), are a legal agreement between the Company and you (“You ” or “User”). By using or accessing Frientor, you agree (i) that you are 18 years of age or older, (ii) if you are the age of majority in your jurisdiction or over, that you have read, understood, and accept to be bound by the Terms of Service and the Privacy Policy.

We reserve the right to make changes to these “Terms of Use” at any time. Any such modifications will become effective immediately upon posting to the Website/Frientor Product and your continued usage of the Website/Frientor Product, and/or the Services constitutes your agreement to such modifications. You agree to periodically review the current version of these Terms of Use as posted on the Website/Frientor Product.
 

KYB – Know your Business

Know Your Business “KYB”, can be defined as the process of verifying the identification information provided by a business. We conduct an investigation to verify the identity of entities we plan to do business with. This helps us build a risk-free relationship with other companies.

In cases where we cannot identify the business, we document and communicate the reasons to such Business for our failure to identify them. And we do not engage with them till they are identified.

Using this approach, we ensure that we do not knowingly conduct business with the following:
1. Terrorist & Terrorist Organizations
2. Persons involved in narcotics, money laundering or human trafficking;
3. Anonymous Organizations; and
4. Shell Companies

In addition, we also confirm the beneficial owners of the organisations. Beneficial owners are any individuals(s) that own or control 25% or more of the organisation, either directly or indirectly. 
 

Account

Your organisation will provide your personal information to create the account and will have access to modify on need basis. Upon signing up to your account, you will be considered as a user of the account and will have access to the website as per the role assigned to you by your organisation. You are entirely responsible for maintaining the confidentiality of your password and account. Furthermore, you are entirely responsible for any and all activities that occur under your account. You agree to notify Frientor immediately of any unauthorised use of your account or any other breach of security. Frientor will not be liable for any loss that you may incur as a result of someone else using your password or account, either with or without your knowledge so long as the security or data breach is not attributable to any fraud, negligence, security breach, or misconduct on part of Frientor. However, you could be held liable for losses incurred by Frientor or another party due to unauthorised use of your account.
 

Services and Terms of Use

You may use the Services in accordance with our contractual arrangement with you or your Employer / organisation that you represent.

Subject to your compliance with these Terms of Use, the Company grants you a limited, revocable, non-exclusive, non-transferable, non-sublicensable license to use and access the Service.

You agree not to (and not to attempt to) (i) use the Service for any use or purpose other than as expressly permitted by these Terms of Use.

Company reserves the right to modify or discontinue, temporarily or permanently, the Service (or any part thereof) with or without notice. The Company reserves the right to refuse any user access to the Services without notice for any reason, including but not limited to a violation of the Terms of Use.

If you violate these Terms of Use, the Company reserves the right to issue you a warning regarding the violation or immediately terminate or suspend any or all accounts you have created using the Service. You agree that the Company need not provide you notice before terminating or suspending your Account(s), but it may do so.


Privacy

Your privacy is important to us. Please read the Frientor Privacy Policy on our website at https://frientor.io/privacy-policy (the “Privacy Policy”) as it describes the types of data we collect from you and your devices (“Personal Data”), how we use your Data, and the legal basis for which we have to process your Personal Data.
 

Usage of Frientor Product

If you use Frientor Product, as a User you are responsible for maintaining the security of the devices on which the product is installed and/or used, as well as the security of your account associated with the product. You are responsible for all activities that occur on the product under your account.

You may only access the Frientor Product and use the Services for lawful purposes. You are solely responsible for the knowledge of and adherence to any or all provisions of Applicable Law pertaining to Your use of the Frientor Product and Services. You agree that you will not in any way:

  • Interfere with the ability of others to access or use the Frientor Product.

  • Interfere with or disrupt the Services or servers or networks connected to the Services, or disobey any requirements, procedures, policies, or regulations of networks connected to the Services.

  • Upload or transmit (or attempt to upload or transmit) files that contain viruses, Trojan horses, worms, time bombs, cancelbots, corrupted files or data, or any other similar software or programs that may damage the operation of the Service or other users’ computers.

  • Violate any Applicable Laws or regulations, or promote and encourage any illegal activity including, but not limited to hacking, cracking or distribution of counterfeit software, or cheats or hacks for the Service.
     

Disclaimer of warranties & limitation of liability

Frientor has endeavoured to ensure that all the information on the Website and the Services is correct, but Frientor neither warrants nor makes any representations regarding the quality, accuracy or completeness of any data, information, product or service. In no event shall Frientor be liable for any direct, indirect, punitive, incidental, special, consequential damages or any other damages. Neither shall Frientor be responsible for the delay or inability to use the Website and the Service or related Functionalities, the provision of or failure to provide Functionalities, or for any information, software, products, Functionalities and related graphics obtained through the Website, or otherwise arising out of the use of the website and the Service, whether based on contract, tort, negligence, strict liability or otherwise. Further, Frientor shall not be held responsible for non-availability of the Website and the Service during periodic maintenance operations or any unplanned suspension of access to the website that may occur due to technical reasons or for any reason beyond Frientor’'s control. Frientor will use commercially reasonable efforts consistent with prevailing industry standards to maintain the site and the services in a manner which seeks to minimise errors and interruptions to the services. The user understands and agrees that any material and/or data downloaded or otherwise obtained through the Website is done entirely at their own discretion and risk and they will be solely responsible for any damage to their computer systems or loss of data that results from the download of such material and/or data. 
 

Indemnity

You agree to defend, indemnify and hold harmless Frientor (and its officers, directors, employees, agents, affiliates, contractors, licensors, suppliers, successors and assigns) from and against any claims, demands, liabilities, damages, judgements, awards, losses, costs (including reasonable attorneys’ fees), arising out of or relating to your breach of this TOS, including, but not limited to, your User Content, your violation of any applicable law or the rights of a third party, or your use of the Site or the Service other than as expressly authorised by Frientor.


Jurisdiction

These Terms of Use shall be governed by and constructed in accordance with the laws of India, without reference to conflict of laws & principles. The courts in Cochin, Kerala, India, shall have the exclusive jurisdiction to determine any disputes arising in relation to, or under, these Terms of Use.
